University of Michigan Alumni Association

Club Bylaws                                                                  


SECTION I - MEMBERSHIP
A.  Members of the University of Michigan Alumni Association who reside in Arizona Zip    Code Areas specifically designated for this Club by the AAUM shall be members of the University of Michigan      Club of the Sun Cities and West Valley, AZ.

B . Members who reside in the geographic area assigned to the U of M Club of the Sun Cities and West Valley for a portion of the calendar year may belong to the U of M Club of the Sun Cities and West Valley as well as that associated with their home residence.

C.  Non-members are welcome at meetings but may not hold office or vote.         

SECTION ll - BOARD OF GOVERNORS AND THEIR ELECTION
 
A.
 The Board of Governors shall consist of nine (9) members with three (3) members to be elected each year for a three-year term. 
B.  A Governor may be elected to consecutive terms.
C. The Board of Governors shall propose a slate of nominees for presentation at the Annual meeting. Following the request for nominations from the floor, the election shall take place.  Any vacancy which occurs thereafter shall be filled for the remainder of the term by action of the Board of Governors.
D. The President may be elected to serve consecutive terms as President. 
E. To  hold office, Board Members must be Members of the University of Michigan Alumni Association. 
F.  Governors are expected to attend board meetings, participate in Club activities, and share the workload of the board. In cases where a board member encounters extended illness, or for any reason cannot or does not attend such meetings, and has not voluntarily resigned, the board,at its discretion, by majority vote, a quorum being present, may appoint another to fill the position.                

SECTION lll - DUTIES AND FUNCTIONS OF THE BOARD OF GOVERNORS
 
The Board of Governors shall:
A. Elect Club Officers at a meeting of the Board held within ten days of the adjournment of the Annual Meeting. Officers shall assume office immediately upon election.
B. Choose all Committee Chairs not otherwise provided for in such manner as may be decided at any regular or special meeting of the Board of Governors.  
C. 
By majority vote of members of the Board, a quorum being present, appoint up to three individuals to assist the Board with special tasks (scholarship fund, projects, website, Michigan Alumni Connection (MAC).                                                                                                        

SECTION lV - DUTIES OF OFFICERS
A. PRESIDENT 
The President shall preside at all meetings of the Club and meetings of the Board of Governors and shall make appointments with the knowledge and approval of the Board of Govenors. 
B. VICE-PRESIDENT
The Vice-president shall act in the absence of the President and shall assume such other assignments as may be made by the President 
C. SECRETARY
 
(1) The Secretary shall keep a record of proceedings of all meetings of the club and shall conduct such correspondence as required. 
(2) The role of MAC Administrator may be assumed by the Secretary, but at the discretion of the Board, the MAC Administrator may be an individual other than the Secretary and not necessarily be an elected member of the Board.
D. TREASURER 
(1) It shall be the duty of the Treasurer to receive all money paid to the Club, to disburse money on orders properly signed, keep an accurate record of these transactions, and make  financial reports to the Board of Governors and to the membership as requested.
(2) The Treasurer’s Records shall be audited at least once every two years.  At the discretion of the Board, audits may be scheduled at more frequent intervals.                     

SECTION V - QUORUM
  
During the months of September-May, five (5) elected members of the Board of Governors shall constitute a quorum sufficient to do business at any meeting or adjournment thereof.  During the months of June, July, and August when at least three members of the Board are in summer residence elsewhere, the presence of four Board members will constitute a quorum.                                                                                                                                    

SECTION 2 - FISCAL YEAR
The fiscal year shall begin on July 1 and end on June 30.       
                                            

SECTION Vll - ANNUAL MEETING
 
The Annual Meeting shall be held during the month of January.  Quorum shall be the total of those members of the University of Michigan Club of the Sun Cities and West Valley present at the meeting.                    

SECTION Vlll - AMENDMENTS
 
These bylaws may be amended by a majority vote by those present at any Club meeting.   

SECTION IX - RULES OF PROCEDURE AT CLUB MEETINGS
 
Robert’s Rules of Order, Newly Revisedmost recent edition, shall govern parliamentary procedure in meetings.
